Terms of Service — NowNow

1. Acceptance

By using NowNow you agree to these Terms. If you do not agree, do not use the service.

2. Service description

NowNow provides an AI-powered assistant and supporting SaaS tools for business users. Service features and pricing are described on our website and may change from time to time.

3. Accounts & eligibility

You must provide accurate registration information and maintain it. Accounts are for business users; you represent you are authorized to enter a contract.

4. Subscriptions & billing

Paid features require a subscription via PayFast (or other provider). All fees are stated in ZAR. Recurring charges are billed by the payment processor; We do not store full card details. Refunds, cancellations and billing disputes are processed according to our billing policies (see Pricing page or contact support).

5. Partners & commissions

Partner relationships and commissions are subject to the partner program terms. Commissions are tracked in our partner ledger and payouts are processed manually. Partners must provide accurate payout details. We reserve the right to review and withhold payouts for fraud or abuse.

6. Acceptable use & content

You must not use the service for unlawful purposes. You are responsible for the content you submit. You grant NowNow a license to use, copy and display content you submit as needed to operate the service (including anonymized processing for product improvements).

6.1 Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless NowNow and its affiliates, officers, directors, employees and agents from and against any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising from or related to:

• Your use of the Service or reliance on AI outputs without independent verification;
• Any breach by you of these Terms; or
• Your violation of applicable law or the rights of any third party.

7. AI outputs, disclaimers & no professional advice

The Service incorporates machine learning models and third-party AI systems that generate outputs which may be inaccurate, incomplete, outdated or misleading. AI-generated content is provided "as-is" and for informational or productivity assistance only. Nothing produced by the AI should be taken as fact. In fact, one must assume the outputs of AI are false. You must independently verify any material information and obtain professional advice where appropriate before acting on AI outputs (for example legal, tax, medical, engineering, financial, or safety-critical matters). We are not licensed financial advisors, investment managers, or certified professionals. Use of the Service does not establish any professional-client relationship.

8. Intellectual property

NowNow and its licensors retain all IP rights in the service and software. Users retain ownership of their data, subject to the license granted to NowNow to operate and improve the service.

9. Termination

We may suspend or terminate accounts for breach of these Terms or for abuse. You may cancel your subscription at any time; cancellation takes effect according to your billing period and our billing policies.

10. Liability & disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• NOWNOW PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
• NOWNOW IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING OUT OF OR RELATED TO THE SERVICE.
• OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO NOWNOW IN THE THREE (3) MONTHS PRECEDING THE CLAIM (OR, IF APPLICABLE, THE MINIMUM LIABILITY REQUIRED BY LAW).

These limitations reflect the allocation of risk and the fees charged for the Service.

11. Governing law & disputes

These Terms are governed by the laws of South Africa. Disputes will be referred to the competent South African courts unless otherwise agreed.

12. Changes

We may update the Terms; material changes will be communicated to users and posted with a new effective date.

13. Google account & Gmail metadata

For users who connect their Google account to use the Email Summary feature, NowNow only requests read-only Gmail metadata (sender, recipients, subject, labels, message date/time and the Gmail API snippet). We do not request or store full message bodies, attachments, or any write permissions (such as send or modify). OAuth scopes used are limited to standard identity scopes and Gmail metadata scope.

Synced Gmail metadata and generated summaries are retained only as needed to provide the feature (see the Privacy Policy for retention periods). Users can disconnect their Google account at any time; doing so removes synced metadata and generated summaries for that account from our systems.

Refresh tokens required to access the Gmail API are stored encrypted at rest. We do not share Google user data with third parties except to the extent necessary to operate the service (see the Privacy Policy for details).

14. Paid features / Email Summary

Email Summary is a paid feature available on our paid subscription plans. Access may be restricted for free-tier accounts. For testing and development purposes, the product owner may enable temporary access in non-production environments. Any such test toggles will not be exposed in production.
